Terms of Service

1. Acceptance of Terms

By accessing and using the services provided by UDAY ("we," "us," or "our"), you accept and agree to be bound by the terms and provision of this agreement.

These Terms of Service apply to all users of the service, including without limitation users who are browsers, vendors, customers, merchants, and/or contributors of content.

2. Services Description

We provide web development services including but not limited to:

Website design and development
Web application development
E-commerce solutions
Mobile app development
SEO optimization
Website maintenance and support
Consultation services

All services are provided on a project basis with specific terms outlined in individual service agreements.

3. Payment Terms

Payment for services is structured as follows:

Initial Deposit: 50% of total project cost due upon project initiation
Progress Payment: 25% due upon completion of major milestones
Final Payment: 25% due upon project completion and delivery

All payments are non-refundable once work has commenced. We accept payments via bank transfer, digital wallets, and other agreed-upon methods.

4. Project Timeline

Project timelines are estimates and may vary based on:

Project complexity and scope
Client responsiveness and feedback timing
Third-party dependencies
Technical challenges

We will provide regular updates on project progress and notify clients of any significant timeline changes. Rush projects may incur additional fees.

5. Intellectual Property

Upon full payment, clients receive:

Full ownership of the delivered website/code
Source code and project files
License to use any third-party components included in the project

We retain the right to display completed projects in our portfolio and marketing materials unless otherwise specified in writing.

6. Client Responsibilities

Clients are responsible for:

Providing complete and accurate project requirements
Timely feedback and approval at each project stage
Providing necessary content (text, images, etc.)
Securing domain names and hosting services
Maintaining backups of their website

Delays caused by client unresponsiveness may affect project timelines and additional charges may apply for extended project durations.

7. Revisions and Changes

Each project includes:

Two rounds of revisions per major project phase
Minor adjustments during the development process
Final review and adjustments before project completion

Additional revisions beyond the included rounds will be billed at our standard hourly rate. Major scope changes may require a new project agreement.

8. Confidentiality

We respect client confidentiality and agree:

Not to disclose confidential client information
To protect sensitive business information
To use client data only for project purposes
To delete confidential information upon request after project completion

Clients are responsible for informing us of any specific confidentiality requirements before project commencement.

9. Limitation of Liability

Our liability is limited to:

The total amount paid for the specific service in question
Direct damages resulting from our negligence

We are not liable for indirect, incidental, or consequential damages, including but not limited to loss of profits, data, or business opportunities.

10. Termination

Either party may terminate a project agreement:

With written notice of 30 days
Immediately in case of material breach
For non-payment after 15 days of due date

Upon termination, clients are responsible for payment for all work completed up to the termination date. All work completed remains our property until full payment is received.

11. Governing Law

These Terms of Service and any separate agreements whereby we provide services shall be governed by and construed in accordance with the laws of India.

Any dispute arising from these terms shall be subject to the exclusive jurisdiction of the courts in Simdega, Jharkhand.

12. Changes to Terms

We reserve the right to update these terms at any time. Changes will be:

Posted on this page with updated "Last updated" date
Communicated to current clients via email
Effective immediately upon posting

Continued use of our services after changes constitutes acceptance of the modified terms.
